Terms of Service

These Terms govern private early-access use of the platform operated by mSquare Data, LLC. Last updated: July 28, 2026.

Agreement and parties

These Terms of Service ("Terms") are between mSquare Data, LLC ("mSquare," "we," "us") and the business entity that accepts them in the product or by using the service ("Customer," "you"). By checking "I agree" or using the platform, you agree to these Terms on behalf of your organization.

Private early access (temporary)

The platform is currently offered only as a private, invite-only early access / beta program. Access is limited to invited design partners and beta users. The environment is our company production infrastructure, but the product is not publicly live or generally available for open signup. Features, support, and availability may change without notice. When we launch publicly, we will publish updated Terms and may ask you to accept them again.

The service

We provide hosted business software (including CRM and related modules you enable) for your organization's authorized users. We may modify, suspend, or discontinue features during early access. The product name and branding used in the interface may be temporary while the service is in development.

Accounts and acceptable use

You are responsible for accounts issued to your users, for keeping credentials secure, and for activity under those accounts. You may use the service only for lawful business purposes and must not attempt to access other tenants' data, disrupt the service, or upload unlawful content.

Customer data

You retain ownership of data you submit (including leads and contacts). Our processing of personal data on your behalf is governed by the Data Processing Agreement accepted in the product and our Platform Privacy Policy. You are responsible for lawful collection and for providing appropriate notices to individuals whose data you upload.

Early-access disclaimer and no SLA

DURING PRIVATE EARLY ACCESS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT PROVIDE A PRODUCTION SERVICE LEVEL AGREEMENT (SLA). We do not warrant uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. You should maintain your own backups of critical data.

Limitation of liability

To the fullest extent permitted by law, mSquare's aggregate liability arising out of or relating to these Terms or the service is limited to the fees you paid us for the service in the twelve (12) months before the claim (or one hundred U.S. dollars if you paid no fees). We are not liable for indirect, incidental, special, consequential, or lost-profit damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnity

You will defend and indemnify mSquare against claims arising from your use of the service, your customer data, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

Term and termination

These Terms apply while you use the service during early access. Either party may terminate access for convenience during early access. Upon termination we will delete or return customer data as described in the DPA and privacy policy, subject to backup cycles and legal retention.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except where mandatory law requires otherwise.
